Terms of service.

definitions

1. Definitions.

'ZooYak' means [OWNER: insert ZooYak legal entity name and ABN] ('ZooYak', 'we', 'us', or 'our'), an Australian company. 'Customer' means the organisation that has agreed to a subscription agreement or accepted these terms to access the service. 'Guard' means an individual end user of the ZooYak mobile app authorised by a customer. 'Service' means the ZooYak web console, mobile applications, and supporting APIs. 'Customer data' means data submitted to the service by or on behalf of a customer, including guard, incident, scheduling, and payroll-related data. Capitalised terms not defined here have the meaning given in the Privacy Policy or the Data Processing Addendum (DPA).

2. Acceptance of terms.

By creating an organisation account, clicking 'accept', or otherwise accessing or using the service, you confirm that you have authority to bind the customer and that the customer agrees to be bound by these terms, our Privacy Policy, and, where applicable, the DPA. We record the version of these terms accepted and the date of acceptance against your organisation account. If you do not agree, do not create an account or use the service.

3. The service.

ZooYak provides a cloud-based security workforce management platform, including patrol tracking, incident reporting, guard welfare and SOS monitoring, shift scheduling, payroll-related data handling, client portals, and a guard mobile app. Features available to a customer depend on the subscription tier (Basic, Essential, Professional, or Enterprise) selected at signup. We may add, change, or retire features as the service evolves; we will not materially reduce core functionality of a paid tier during a subscription term without notice.

4. Free trial.

New customers may access the service for an initial 14-day free trial. We may end or modify the trial at any time. If you continue to use the service after the trial period, you will be charged the applicable subscription fees for your selected tier unless you cancel before the trial ends. Trial data may be deleted if you do not convert to a paid subscription.

5. Authorized users and guard accounts.

You are responsible for the actions of users you grant access to the web console, and for ensuring each user has a unique account and keeps credentials confidential. Guards access the service through the ZooYak mobile app under a separate guard account provisioned by the customer; guards may request deletion of their guard account directly in-app, subject to a 30-day cooling-off period before the request is finalised. You must revoke access for staff and guards promptly when their engagement ends.

6. Customer data and ownership.

You retain all right, title, and interest in customer data. We process customer data solely to provide the service, in accordance with your instructions, our Privacy Policy, and the DPA. We do not sell customer data or use it to train models for other customers, and we do not share customer data with third parties for advertising or marketing purposes.

7. Acceptable use.

You must not use the service to violate applicable law, infringe another party's rights, submit malicious code, attempt to circumvent security controls, or misuse guard location or welfare-monitoring features for purposes unrelated to legitimate workforce management. We may suspend accounts that we reasonably believe are being used in breach of this section, using the suspension process described in section 11.

integrations

8. Third-party integrations.

The service integrates with third-party providers that support core functionality, including cloud hosting, payment processing, email delivery, and authentication, as described in our Privacy Policy and DPA. You may optionally connect your Xero account for payroll export; that integration is governed by your agreement with Xero and is enabled only at your direction.

fees

9. Fees and billing.

Subscription fees are usage-based and billed in Australian dollars per guard-hour at the rate for your selected tier (Basic, Essential, Professional, or Enterprise), on a recurring monthly billing cycle. A billable guard-hour is the greater of a shift's scheduled hours or its actual clocked hours less unpaid breaks, subject to a minimum per clock-on. Each month is charged the greater of actual usage or the applicable minimum (one full-time-guard equivalent of 160 hours at your tier's rate, or the committed minimum under a subscription agreement). Payments are processed by Stripe; ZooYak does not store your card details. Fees are exclusive of GST unless stated otherwise.

10. Subscription term and renewal.

Your subscription commences on conversion from trial or on the start date in your subscription agreement, and renews automatically for successive terms of the same length unless either party gives notice of non-renewal in accordance with your subscription agreement.

11. Suspension.

We may suspend access to the service if fees are overdue, if we reasonably believe the account poses a security risk, or if use of the service breaches section 7. We will give notice where practicable and restore access promptly once the issue is resolved.

termination

12. Termination and data return.

Either party may terminate for material breach with 30 days' written notice and an opportunity to cure. On termination, we make an export of your customer data available in a portable format on request. Following termination or a written deletion request, we delete customer data from production systems within 7 days and from backups within 30 days, including cryptographic erasure of associated key material.

13. Intellectual property.

We and our licensors retain all right, title, and interest in the service, including software, designs, and documentation. Nothing in these terms transfers ownership of the service to you. You grant us a licence to host, process, and display customer data solely to provide the service.

confidentiality

14. Confidentiality.

Each party will protect the other's confidential information with at least the same care it uses for its own confidential information of a similar nature, and will use it only to perform its obligations under these terms.

warranty

15. Warranty disclaimer.

The service is provided 'as is' without warranties of any kind, except as expressly stated in your subscription agreement. We do warrant that we will perform the service with reasonable care and skill, and in accordance with applicable law.

liability

16. Limitation of liability.

To the maximum extent permitted by law, neither party's aggregate liability under these terms will exceed the fees paid in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in this section limits liability that cannot be excluded under applicable law, including the Australian Consumer Law.

indemnification

17. Indemnification.

You will indemnify us against claims arising from your breach of these terms or your misuse of the service, except to the extent the claim arises from our breach of these terms or applicable law.

changes

18. Changes to these terms.

We may update these terms from time to time. We will notify customers of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the service after changes take effect constitutes acceptance.

law

19. Governing law and disputes.

These terms are governed by the laws of [OWNER: confirm governing state or territory, suggested: New South Wales], Australia. Any disputes will be resolved in the courts of that jurisdiction, except where mandatory consumer protection laws of your jurisdiction apply.

20. Notices and contact.

Notices under these terms must be given in writing to legal@zooyak.com or to the address in your subscription agreement. Questions about these terms can be sent to the same address.

entire agreement

21. Entire agreement.

These terms, together with your subscription agreement, the Privacy Policy, and, where applicable, the DPA, constitute the entire agreement between you and ZooYak regarding the service, and supersede any prior agreements on the same subject matter.
